TERMS AND CONDITIONS NEXT GENETICS ONLOINE --- 1. INTRODUCTION 1.1 These Terms and Conditions (“Terms”) govern your access to and use of the NEXT GENETICS DORPERS (PTY) LTD (“Online”, “Platform”). 1.2 By using the Platform, you agree to be bound by these Terms. 1.3 If you do not agree, you must not use the Platform. --- 2. ABOUT THE PLATFORM 2.1 NEXT GENETICS DORPERS ONLINE is an online marketplace that enables users to: * Buy and sell livestock * Trade genetic material (including semen and embryos) * Participate in auctions * Trade agricultural products * Advertise services 2.2 The Platform operates across South Africa. --- 3. PLATFORM ROLE 3.1 The Platform acts solely as an **intermediary** between Buyers and Sellers. 3.2 The Platform is NOT: * The seller or supplier of goods * A party to transactions * A transport provider * A financial institution 3.3 All transactions are concluded directly between Users. --- 4. USER REGISTRATION 4.1 Users must: * Register an account * Provide accurate information * Submit required verification documentation 4.2 The Platform may: * Approve or reject registrations * Suspend or terminate accounts --- 5. USER RESPONSIBILITIES Users agree to: 5.1 Provide truthful and accurate information 5.2 Comply with all applicable laws 5.3 Not engage in fraud, misrepresentation, or unlawful conduct 5.4 Maintain confidentiality of login credentials --- 6. LISTINGS AND SALES 6.1 Sellers must: * Provide accurate descriptions * Disclose relevant information * Ensure lawful ownership of goods 6.2 Buyers are responsible for: * Conducting due diligence * Verifying information --- 7. AUCTIONS 7.1 Auctions are governed by the Auction Rulebook. 7.2 All bids are: * Binding * Irrevocable 7.3 A binding agreement is formed upon auction completion. --- 8. PAYMENTS 8.1 Payments are processed via: * PayFast * Ozow 8.2 Payments may be held in escrow. 8.3 Commission is: * Payable by the Seller * Automatically deducted --- 9. VAT 9.1 Sellers are responsible for: * VAT registration * Tax compliance 9.2 VAT applies to goods sold, not Platform commission (unless required by law). --- 10. TRANSPORT 10.1 Transport is arranged between Users. 10.2 Buyer pays transport unless otherwise agreed. 10.3 The Platform is not liable for delivery issues. --- 11. LIVESTOCK AND GENETICS 11.1 Livestock and genetic material are sold: * “As is” * Without warranties 11.2 Buyers assume all risks, including: * Disease * Fertility outcomes * Performance --- 12. COMMUNICATIONS 12.1 Users may communicate via the Platform. 12.2 The Platform may monitor communications for: * Compliance * Fraud prevention --- 13. REFUNDS 13.1 Refunds are governed by the Refund Policy. 13.2 The Platform is not responsible for issuing refunds unless required by law. --- 14. PROHIBITED CONDUCT Users must not: * Commit fraud * Manipulate auctions * Abuse payment systems * Circumvent the Platform --- 15. SUSPENSION AND TERMINATION 15.1 The Platform may suspend or terminate accounts: * Without notice * For breach or risk --- 16. LIMITATION OF LIABILITY 16.1 To the maximum extent permitted by law, the Platform is not liable for: * Transaction outcomes * Losses or damages * Livestock-related issues * Payment failures --- 17. INDEMNITY 17.1 Users indemnify NEXT GENETICS DORPERS (PTY) LTD against: * Claims arising from transactions * Fraud or misconduct * Third-party claims --- 18. PRIVACY 18.1 Personal information is processed in accordance with: * Privacy Policy * POPIA --- 19. CHANGES TO TERMS 19.1 These Terms may be updated at any time. 19.2 Continued use constitutes acceptance of changes. --- 20. GOVERNING LAW These Terms are governed by the laws of the Republic of South Africa. --- 21.
