MASTER TERMS AND CONDITIONS NEXT GENETICS PLATFORM --- 1. INTRODUCTION 1.1 These Terms and Conditions (“Terms”) govern access to and use of the NEXT GENetics platform (“Platform”), including all subdomains, services, and features. 1.2 By accessing or using the Platform, the User agrees to be bound by these Terms. 1.3 If the User does not agree, they must not use the Platform. --- 2. DEFINITIONS 2.1 “Platform” means NEXT GENetics, including all subdomains and systems. 2.2 “User” means any person or entity registered on the Platform. 2.3 “Buyer” means a User purchasing goods or services. 2.4 “Seller” means a User offering goods or services. 2.5 “Transaction” means any agreement between Users facilitated through the Platform. --- 3. PLATFORM NATURE AND ROLE 3.1 The Platform operates as an **online intermediary marketplace**. 3.2 The Platform facilitates transactions between independent Users. 3.3 The Platform is NOT: * The seller of goods * The buyer of goods * A party to any Transaction * An agent, broker, or representative of Users 3.4 Each User acts as an **independent contracting party**. --- 4. MULTI-TENANT / SUBDOMAIN STRUCTURE 4.1 Each User may operate under a unique subdomain. 4.2 Each subdomain represents an **independent trading entity**. 4.3 The Platform is NOT responsible for: * Content hosted on subdomains * Listings created by Users * Transactions conducted by Users 4.4 Users bear full legal responsibility for their activities. --- 5. USER REGISTRATION AND VERIFICATION 5.1 All Users must: * Provide accurate information * Submit required documentation * Complete verification processes 5.2 The Platform reserves the right to: * Approve or reject registrations * Request additional documentation * Suspend or terminate accounts --- 6. PERMITTED USE Users agree to: * Use the Platform lawfully * Provide accurate information * Comply with all applicable laws Users must NOT: * Engage in fraud * Misrepresent goods * Manipulate auctions * Circumvent Platform systems --- 7. MARKETPLACE ACTIVITIES 7.1 The Platform facilitates: * Buying and selling * Auctions * Trading of livestock and products * Trading of genetic material (including semen) * Advertising of services 7.2 All Transactions occur directly between Users. --- 8. AUCTIONS 8.1 Auctions are governed by the Auction Rulebook. 8.2 All bids are: * Binding * Irrevocable 8.3 A binding agreement is formed upon auction close. --- 9. PAYMENTS AND ESCROW 9.1 Payments are processed through the Platform and/or third-party providers. 9.2 Funds may be held in escrow. 9.3 Commission: * Payable by Seller * Automatically deducted 9.4 The Platform is NOT a financial institution. --- 10. VAT AND TAX 10.1 Sellers are responsible for: * VAT registration * Tax compliance 10.2 VAT applies to goods sold, not commission (unless legally required). --- 11. TRANSPORT 11.1 Transport is arranged between Users. 11.2 Default rule: * Buyer pays transport 11.3 The Platform is not liable for transport issues. --- 12. LIVESTOCK AND GENETICS DISCLAIMER 12.1 All livestock and genetic material are sold: * “As is” * Without warranties 12.2 The Platform makes no guarantees regarding: * Health * Fertility * Performance * Disease --- 13. COMMUNICATIONS AND MONITORING 13.1 Users may communicate via the Platform. 13.2 The Platform reserves the right to: * Monitor communications * Store communications 13.3 Users consent to such monitoring for: * Compliance * Fraud prevention --- 14. FRAUD AND ENFORCEMENT 14.1 Fraud is strictly prohibited. 14.2 The Platform may: * Suspend or terminate accounts * Cancel transactions * Withhold funds * Report users to authorities --- 15. DISPUTES 15.1 Disputes must be resolved between Users. 15.2 The Platform may assist but is not obligated. 15.3 Final resolution lies with South African courts. --- 16. LIMITATION OF LIABILITY 16.1 To the maximum extent permitted by law, the Platform is NOT liable for: * Transaction outcomes * Losses or damages * Misrepresentation by Users * Livestock-related issues * Payment failures 16.2 The Platform excludes: * Indirect damages * Consequential damages * Loss of profit --- 17. INDEMNITY 17.1 Users indemnify NEXT GENetics against: * Claims arising from Transactions * Fraudulent conduct * Legal breaches * Third-party claims --- 18. INTELLECTUAL PROPERTY 18.1 All Platform content is owned by NEXT GENetics. 18.2 Users may not: * Copy * Distribute * Exploit content Without permission. --- 19. API AND TECHNOLOGY USE 19.1 Use of APIs is governed by API Terms. 19.2 The Platform is not liable for: * Integration failures * Data loss --- 20. DATA PROTECTION 20.1 Personal data is processed in accordance with: * POPIA * Privacy Policy --- 21. SUSPENSION AND TERMINATION 21.1 The Platform may suspend or terminate access: * Without notice * For any breach or risk --- 22. FORCE MAJEURE The Platform is not liable for events beyond its control, including: * Network failures * Infrastructure outages * External disruptions --- 23. AMENDMENTS 23.1 These Terms may be updated at any time. 23.2 Continued use constitutes acceptance. --- 24. GOVERNING LAW These Terms are governed by the laws of the Republic of South Africa. --- 25.
