AUCTION RULEBOOK NEXT GENETICS ONLINE --- 1. DEFINITIONS 1.1 “Auction” means a time-bound listing where goods are sold to the highest bidder. 1.2 “Bid” means an irrevocable offer submitted by a bidder. 1.3 “Bidder” means a registered and verified user placing bids. 1.4 “Seller” means the user listing goods for auction. 1.5 “Reserve Price” means the minimum price set by the Seller. 1.6 “Winning Bid” means the highest valid bid at the close of the auction. 1.7 “Platform” means NEXT GENetics online and all associated subdomains. --- 2. LEGAL STATUS OF AUCTIONS 2.1 All auctions conducted on the Platform constitute legally binding processes. 2.2 Each Bid constitutes a legally binding, irrevocable offer to purchase. 2.3 Acceptance occurs automatically upon auction close when the highest valid bid is determined. 2.4 A binding sale agreement is concluded between Buyer and Seller upon auction completion. 2.5 The Platform is NOT a party to the sale agreement. --- 3. ELIGIBILITY TO PARTICIPATE 3.1 Only fully verified users may participate in auctions. 3.2 The Platform reserves the right to: * Approve or reject bidders * Restrict bidding access * Require additional documentation 3.3 Users must have legal capacity to contract under South African law. --- 4. LISTING REQUIREMENTS 4.1 Sellers must provide: * Accurate descriptions * Clear images * Full disclosure of condition * Relevant certifications (e.g., stud registration, veterinary status) 4.2 Misrepresentation constitutes a material breach. 4.3 Livestock listings must include: * Breed * Age * Health status (to best knowledge) * Registration details (if applicable) --- 5. AUCTION FORMAT 5.1 Auctions may include: * Standard ascending bid auctions * Time-limited auctions * Reserve or no-reserve auctions 5.2 The Platform may determine: * Minimum bid increments * Auction duration * Starting price --- 6. RESERVE PRICE 6.1 Sellers may set a Reserve Price. 6.2 If the Reserve Price is not met: * The Seller is not obliged to sell * The Platform may notify bidders 6.3 Reserve Prices may be: * Public * Hidden (at Seller discretion) --- 7. BIDDING RULES 7.1 All bids are: * Binding * Irrevocable * Automatically recorded 7.2 Bidders may NOT: * Withdraw bids * Manipulate auction outcomes * Collude with other users 7.3 The Platform may invalidate bids that: * Are fraudulent * Breach rules * Result from technical abuse --- 8. AUTO-EXTENSION (ANTI-SNIPING) 8.1 The Platform may implement automatic time extensions if bids are placed near auction closing. 8.2 Extensions ensure fair bidding opportunities. --- 9. WINNING BID AND CONTRACT FORMATION 9.1 The highest valid bid at closing is the Winning Bid. 9.2 Upon closing: * A binding agreement is formed * Buyer is obligated to pay * Seller is obligated to deliver 9.3 Failure to complete the transaction constitutes breach. --- 10. PAYMENT OBLIGATIONS 10.1 The Winning Bidder must: * Complete payment within the specified timeframe 10.2 Payments are processed via: * Platform payment systems * Approved payment providers 10.3 Failure to pay may result in: * Suspension * Account termination * Legal action --- 11. DEFAULT AND NON-PERFORMANCE 11.1 Buyer Default includes: * Failure to pay * Refusal to complete transaction 11.2 Seller Default includes: * Failure to deliver * Misrepresentation 11.3 The Platform may: * Suspend accounts * Impose penalties * Re-list items * Retain deposits (if applicable) --- 12. LIVESTOCK AND GENETICS DISCLAIMER 12.1 All livestock and genetic material are sold: * “As is” * Without warranties unless expressly stated 12.2 The Platform makes NO representations regarding: * Health * Fertility * Performance * Disease status 12.3 Buyers assume all risk upon conclusion of sale. --- 13. INSPECTION AND DUE DILIGENCE 13.1 Buyers are responsible for: * Inspecting goods * Verifying information * Obtaining independent advice 13.2 Failure to inspect does NOT invalidate the sale. --- 14. TRANSPORT AND DELIVERY 14.1 Transport is: * Arranged between Buyer and Seller 14.2 Costs are: * Payable by Buyer unless otherwise agreed 14.3 Risk transfer: * As agreed between parties * Default: upon handover to transporter --- 15. PLATFORM RIGHTS 15.1 The Platform may: * Cancel auctions * Remove listings * Suspend users * Correct errors 15.2 This may occur where: * Fraud is suspected * Technical errors occur * Legal compliance requires it --- 16. FRAUD AND MANIPULATION 16.1 Prohibited conduct includes: * Bid rigging * Fake bidding * Account abuse 16.2 The Platform may: * Cancel affected auctions * Ban users * Report conduct to authorities --- 17. LIMITATION OF LIABILITY 17.1 The Platform is NOT liable for: * Transaction outcomes * Misrepresentation by users * Loss of livestock * Transport failures 17.2 Liability is excluded to the maximum extent permitted by law. --- 18. DISPUTES 18.1 Disputes must first be resolved between Buyer and Seller. 18.2 The Platform may assist but is not obligated to intervene. 18.3 Final recourse lies with South African courts. --- 19. RECORDS 19.1 The Platform’s records of bids and transactions are: * Final * Binding * Admissible as evidence --- 20. GOVERNING LAW These rules are governed by the laws of the Republic of South Africa. --- 21.
