API TERMS
API AND WEBHOOK TERMS OF USE NEXT GENETICS ONLINE --- 1. DEFINITIONS 1.1 “API” means the application programming interface made available by NEXT GENETICS DORPERS (PTY) LTD T/A NEXT GENetics online to enable integration with the Platform. 1.2 “Webhook” means automated HTTP callbacks triggered by Platform events. 1.3 “Developer” means any person or entity accessing or using the API. 1.4 “Platform” means NEXT GENetics online, including all subdomains and services. 1.5 “User Data” means any data transmitted via the API or Webhooks. --- 2. SCOPE AND ACCEPTANCE 2.1 These terms govern all use of the API and Webhook services. 2.2 By accessing or using the API, the Developer agrees to be bound by these terms. 2.3 If the Developer is acting on behalf of a business, they warrant authority to bind that entity. --- 3. LICENSE GRANT 3.1 NEXT GENETICS DORPERS (PTY) LTD online grants a limited, non-exclusive, non-transferable, revocable license to use the API strictly for: * Integrating with the Platform * Facilitating transactions * Accessing permitted data 3.2 No ownership rights are transferred. --- 4. PERMITTED USE 4.1 Developers may only: * Access endpoints as documented * Use authentication credentials securely * Use the API for lawful purposes 4.2 Developers must NOT: * Reverse engineer or attempt to extract source code * Abuse rate limits * Use the API for competing services * Scrape or harvest data unlawfully * Circumvent security controls --- 5. AUTHENTICATION AND SECURITY 5.1 Developers are responsible for: * Securing API keys and tokens * Preventing unauthorized access * Implementing secure storage mechanisms 5.2 Any compromise must be reported immediately. 5.3 NEXT GENetics online may suspend access if security is compromised. --- 6. WEBHOOKS 6.1 Webhooks are provided for event notifications including (but not limited to): * Transactions * Payments * Auction updates * User activity 6.2 DELIVERY DISCLAIMER: * Webhook delivery is NOT guaranteed * Events may be delayed, duplicated, or lost * Developers must implement idempotency 6.3 RETRIES: * The Platform may retry failed deliveries at its discretion 6.4 Developers are responsible for: * Validating payload authenticity * Securing endpoints (HTTPS required) * Handling duplicate events safely --- 7. DATA PROTECTION AND POPIA COMPLIANCE 7.1 Developers must comply with: * POPIA (Protection of Personal Information Act) * All applicable data protection laws 7.2 Developers act as: * Independent Responsible Parties or Operators (as applicable) 7.3 Developers must: * Process data lawfully * Use data only for authorized purposes * Implement appropriate security safeguards 7.4 Unauthorized data sharing is strictly prohibited. --- 8. RATE LIMITING AND FAIR USE 8.1 The Platform may impose rate limits at its discretion. 8.2 Excessive or abusive usage may result in: * Throttling * Suspension * Termination --- 9. AVAILABILITY AND MODIFICATIONS 9.1 The API is provided “AS IS” and “AS AVAILABLE”. 9.2 NEXT GENetics online does NOT guarantee: * Uptime * Availability * Compatibility 9.3 The Platform may: * Modify endpoints * Change functionality * Deprecate features Without prior notice. --- 10. THIRD-PARTY DEPENDENCIES 10.1 The API may rely on third-party services. 10.2 NEXT GENetics online is NOT responsible for: * Third-party failures * Data loss from integrations * External system outages --- 11. INTELLECTUAL PROPERTY 11.1 All API-related intellectual property remains the property of NEXT GENETICS DORPERS (PTY) LTD. 11.2 Developers may not: * Copy * Distribute * Resell API access Without written consent. --- 12. LIMITATION OF LIABILITY 12.1 To the maximum extent permitted by law, NEXT GENETICS DORPERS (PTY) LTD shall NOT be liable for: * Data loss * Integration failures * Downtime * Lost profits * Indirect or consequential damages 12.2 Total liability (if any) is limited to amounts paid by the Developer (if applicable). --- 13. INDEMNITY 13.1 The Developer indemnifies and holds harmless NEXT GENETICS DORPERS (PTY) LTD against: * Claims arising from misuse of the API * Data breaches caused by Developer systems * Violations of law * Third-party claims --- 14. SUSPENSION AND TERMINATION 14.1 NEXT GENetics online may suspend or terminate API access: * For security risks * For breach of these terms * For suspected fraud or abuse 14.2 Termination may occur without notice. --- 15. AUDIT AND COMPLIANCE 15.1 NEXT GENETICS DORPERS (PTY) LTD reserves the right to audit API usage. 15.2 Developers must cooperate with reasonable compliance requests. --- 16. FORCE MAJEURE NEXT GENETICS DORPERS (PTY) LTD is not liable for failure due to: * Network outages * Infrastructure failures * Acts beyond reasonable control --- 17. GOVERNING LAW These terms are governed by the laws of the Republic of South Africa. --- 18.
